Customer Service Agreement

AGREEMENT between Inspire (Hereinafter referred to as “Firm”), and Client.

1 Appointment
Client appoints Firm as Client’s digital advertising Firm in connection with the products and/or services of Client for a term (“1 year”) as hereinafter provided.

2 Scope of Services
|| Firm will provide Client with marketing and advertising services including; i. Study of Client’s products or services ii. Graphic/Visual Design iii. Web Design & Development iv. Marketing Design, Implementation & Automation v. Lead Generation vi. Social Media Marketing vii. Email Automation, and Customer Relationship Management Systems Development viii. Analysis of Client’s present and potential markets ix. Creation, preparation, and submittal to Client for approval, advertising ideas and programs x. Employ on Client’s behalf, Firm’s knowledge of available media and means that can be profitably used to advertise and market Client’s products or services xi. Write, design, illustrate, or otherwise prepare Client’s advertisements, social media display and paid ads to be broadcast, or other appropriate forms of Client’s message xii. Order the space, time, or other means to be used for Client’s advertising, endeavoring to secure the most advantageous rates available xiii. Properly incorporate the message in mechanical or other form and forward it with proper instructions for the fulfillment of the order to the Client.

3 Specifics of the Wildfire Marketing Engine services and products.

CUSTOMER SERVICE AGREEMENT (cont.)

Should Client request Firm to perform additional services beyond what is provided herein, Firm and Client will negotiate in good faith with respect to the terms, conditions, and compensation for such additional services. Success is not guaranteed, and will be determined by the Clients sales ability, content and support supplied to Firm. Any agreement for additional services will be set forth in writing and considered an addendum to this Agreement.

4 Ownership
All campaigns, trademarks, service marks, slogans, artwork, written materials, drawings, photographs, graphic materials, film, music, transcriptions, or other materials that are subject to copyright, trademark, patent, or similar protection (collectively, the “Work Product”) produced by Firm are the property of the Client. Notwithstanding the foregoing, it is understood that Firm may, on occasion, license materials from third parties for inclusion in Work Product. In such circumstances, ownership of such licensed materials remains with the licensor at the conclusion of the term of the license. In such instances, Client agrees that it remains bound by the terms of such licenses. Firm will keep Client informed of any such limitations.

5 Termination
The term of this Agreement shall commence on the date provided herein (“Commencement Date”) and shall continue until terminated by either party upon (60) days’ prior written notice (“Notice Period”), provided that this Agreement may not be terminated effective prior to the expiration of twelve (12) months from the Commencement Date. Ether party may terminate at the end of the current term. Either party may terminate upon chapter 7 bankruptcy if a partner fails to pay under the agreement. The firm may suspend the services until payments are reinstated. If payment is not brought current within 30 days of notice of failure to pay, the firm may terminate the agreement and hold the partner responsible for any non-payment. Notice shall be deemed given on the day of mailing or, in case of notice by telegram, on the day it is deposited with the telegraph company for transmission. During the Notice Period, Firm’s rights, duties, and responsibilities shall continue. Where the Client does not give a notice of cancellation prior to the expiration thereof, the contract will auto renew for another twelve (12) months. Upon termination, Firm will transfer and/or assign to Client: i. All Work Product in Firm’s possession or control belonging to Client, subject, however, to any rights of third parties ii. All contracts with third parties, including advertising media or others, upon being duly released by Client and any such third party from any further obligations.

6 Confidentiality and Safeguard of Property
Client and Firm respectively agree to keep in confidence, and not to disclose or use for its own respective benefit or for the benefit of any third party (except as may be required for the performance of services under this Agreement or as may be required by law), any information, documents, or materials that are reasonably considered confidential regarding each other’s products, business, customers, clients, employees, suppliers, or methods of operation; provided, however, that such obligation of confidentiality will not extend to anything in the public domain or that was in the possession of either party prior to disclosure. Firm and Client will take reasonable precautions to safeguard property of the other entrusted to it, but in the absence of negligence or willful disregard, neither Firm nor Client will be responsible for any loss or damage.

7 Compensation and Billing procedures Our compensation and billing process is categorized in two from which the client can choose namely; • Own it. • Grow together. a) Own it Clients in this cluster will operate with no limitations caped on ownership of products Fee payable will be determined by the nature and amount of work as shall be assessed by the Firm b) Grow Together This is a fairly subsidized rate with limitations on ownership of products herein

8 Indemnities
Firm agrees to indemnify and hold Client harmless with respect to any claims or actions by third parties against Client based upon material prepared by Firm, involving any claim for libel, slander, piracy, plagiarism, invasion of privacy, or infringement of copyright, except where any such claim or action arises out of material supplied by Client to Firm. Client agrees to indemnify and hold Firm harmless with respect to any claims or actions by third parties against Firm based upon materials furnished by Client or where material created by Firm is substantially changed by Client. Information or data obtained by Firm from Client to substantiate claims made in advertising shall be deemed to be “materials furnished by Client.” Client further agrees to indemnify and hold Firm harmless with respect to any death or personal injury claims or actions arising from the use of Client’s products or services.

9 Limitation of Liabilities
THE ABOVE WARRANTIES ARE IN LIEU OF ALL LIABILITIES AND OBLIGATIONS OF THE FIRM OR ITS ASSIGNS FOR CLAIMS OR DAMAGES ARISING OUT OF A DELIVERY, INSTALLATION, USE OR PERFORMANCE OF THE SERVICES AND ARE THE ONLY WARRANTIES MADE BY THE FIRM. ALL OTHER WARRANTIES EXPRESS OR IMPLIED INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS AND FOR PARTICULAR PURPOSE ARE EXCLUDED. PARTNER EXPRESSLY AGREES THAT ITS SOLE AND EXCLUSIVE REMEDY WITH REGARD TO THE SERVICES WILL BE, AT THE FIRM’S OPTION, THE FIRMS REPAIR AND REPLACEMENT REMEDY FAILS OF ITS ESSENTIAL PURPOSE, OR IF AFTER REPEATED EFFORTS, THE FIRM IS UNABLE TO MAKE THE ITEM OR SERVICE WHICH FAILS TO CONFORM TO THE SERVICE LEVEL COMMITMENTS. IF FOR ANY REASON THIS REPAIR AND REPLACEMENT REMEDY FAILS OF ITS ESSENTIAL PURPOSE OR IF AFTER REPEATED EFFORTS, THE FIRM IS UNABLE TO MAKE THE ITEM OR SERVICES OPERATE AS WARRANTED, THEN PARTNERS EXCLUSIVE MEASURE OF DAMAGES REGARDLESS OF THE FORM OF ACTION AND WHETHER IN CONTRACT, TORT, STRICT LIABILITY, WARRANTY OR ANY OTHER CAUSE SHALL BE LIMITED TO ONE MONTH OF SERVICES FOR THE DEFECTIVE PRODUCT OR SERVICES. THE FIRM WILL HAVE NO LIABILITY UNDER THIS AGREEMENT FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10 General provisions
This agreement is the entire and only understanding and agreement between the parties for the services and related matters and maybe amended only by a writing signed by each party. There are no other separate oral or written agreements.

11 Dispute Resolution
Where a dispute arises about matters herein, representatives will meet in good faith to reach solutions. If the dispute can’t be resolved, the parties will submit the dispute to mediation before a mediator chosen by mutual consent at a location chosen by mutual agreement. In any action between the parties to enforce terms of this agreement, the prevailing party is entitled to recover all expenses, including reasonable attorneys’ fees. To encourage reasonable and timely dispute resolution (by discouraging arbitration), if arbitration is necessary, the party invoking the arbitration will travel to the city where the other party resides for the venue of the arbitration.

12 Severability
No waiver by either party of any particular provision or right under the agreement will be deemed a waiver of any provision or right under. Each provision or term is intended to be severable from the others so if any particular provision or term is determined illegal or invalid, that will not affect the legality or validity of the remaining provisions and terms. Partner and The firm are independent parties. This is not a joint venture, partnership, agency, or other employment relationships. The firm employees are employees of the firm and are not agents or employees of partner.

13 Assignment
Either party may assign or transfer this agreement or any rights or obligations under it to any affiliate or successor upon notice to the other but without the need for consent. Affiliate means an entity that directly or indirectly controls, is controlled by or is under common control with a party.

14 Commitments to Third Parties
All purchases of media, production costs, and engagement of talent will be subject to Client’s prior approval. Client reserves the right to cancel any such authorization, whereupon Firm will take all appropriate steps to effect such cancellation, provided that Client will hold Firm harmless with respect to any costs incurred by Firm as a result. If at any time Firm obtains a discount or rebate from any supplier in connection with Firm’s rendition of services to Client, Firm will credit Client or remit to Client such discount or rebate. For all media purchased by Firm on Client’s behalf, Client agrees that Firm shall be held solely liable for payments only to the extent proceeds have cleared from Client to Firm for such media purchase; otherwise, Client agrees to be solely liable to media (“Sequential Liability”). Firm will use its best efforts to obtain agreement by media to Sequential Liability.

15 Amendments
Any amendments to this Agreement must be in writing and signed by Firm and Client.

16 Notices
Any notice shall be deemed given on the day of mailing or, if notice is by telegram, e-mail, or fax, on the next day following the day notice is deposited with the telegraph company for transmission, or e-mailed or faxed.

17 Governing Law
This Agreement shall be interpreted in accordance with the laws of the State of California. without regard to its principles of conflicts of laws. Jurisdiction and venue shall be solely within the State of California.
